Partner Agreement

This Partner Agreement governs the relationship between Skipick Technologies Private Limited and restaurant partners ("Partner") listed on Skipick. By registering as a Partner, you agree to these terms.

1. Eligibility

You must be a legally registered business in India with all statutory approvals required to prepare, sell, and serve food, including a valid FSSAI licence.

2. Registration Requirements

You agree to provide accurate, complete, and up-to-date business information during onboarding and to promptly update it whenever it changes.

3. KYC Verification

You will submit all required KYC documents including FSSAI licence, GST registration, PAN, bank account proof, and identity documents of authorised signatories. Listing is subject to successful verification.

4. Restaurant Listing Rules

Restaurant name, cuisine, address, timings, and imagery must accurately represent the outlet. Misleading or offensive content is not permitted and may result in removal.

6. Pricing Responsibilities

You set the base menu prices, which should reflect in-store prices unless otherwise agreed. Any deviation must comply with applicable consumer protection laws.

7. Inventory Accuracy

You are expected to maintain real-time inventory accuracy through the partner dashboard. Repeated stockout-related cancellations may affect your rating and standing on the Platform.

8. Food Quality Standards

All food prepared for orders through the Platform must meet the same quality standards as items served in-store and comply with all applicable food safety laws.

9. Hygiene & Food Safety Compliance

You will comply with FSSAI regulations, maintain a valid licence at all times, and follow all applicable hygiene, sanitation, and worker health guidelines. We may audit premises or request evidence of compliance.

10. Packaging Standards

Orders must be packaged in tamper-evident, food-safe packaging that maintains temperature and prevents spillage. Order labels or stickers provided by the Platform, where required, must be affixed.

11. Order Acceptance & Rejection

You are expected to accept orders within the agreed response time. Rejections are permitted only for legitimate operational reasons such as stockout, closure, or equipment failure. Excessive rejections may lead to suspension.

12. Preparation Time Commitments

You will honour the preparation time committed in the dashboard. Consistent delays may impact your standing and eligibility for promotions.

13. Pickup Responsibilities

You will hand over the correct order to the customer or their authorised representative after verifying the order ID or QR code and update the order status accurately in the dashboard.

14. Customer Service Expectations

You will treat customers courteously, respond to legitimate concerns, and cooperate with the Platform in resolving complaints, refund requests, and disputes.

15. Settlement Process

Settlements will be made to your registered bank account according to the agreed cycle (e.g., weekly), net of applicable commissions, taxes, refunds, adjustments, and statutory deductions. Reconciliation reports are available in the dashboard.

16. Commission Structure

Commission rates, platform fees, payment gateway charges, and any other applicable deductions are set out in the Commercial Schedule agreed at onboarding and may be revised with prior notice.

17. Taxes & GST

You are solely responsible for compliance with GST and other tax obligations relating to your business, including issuance of tax invoices to customers where required.

18. Refund Responsibilities

For refunds arising due to Partner-attributable reasons (e.g., missing items, poor quality, wrong order), the refund amount may be recovered from your settlement.

19. Promotional Campaigns

You may opt into promotional campaigns and discounts. Costs of Partner-funded promotions will be deducted from your settlements as per the campaign terms.

20. Marketing Permissions

You grant Skipick Technologies Private Limited a limited, non-exclusive licence to use your restaurant name, logo, imagery, and menu content for marketing and promotion of the Platform, both digitally and offline.

21. Intellectual Property

All Platform software, trademarks, dashboards, and documentation remain the property of the Company. Your restaurant brand and content remain your property, subject to the licence granted above.

22. Confidentiality

Each party will keep confidential any non-public information received from the other, including commercial terms, customer data, and operational information, and use it only for performing this Agreement.

23. Data Protection

You will handle customer data received through the Platform strictly for order fulfilment and in accordance with applicable data protection laws. Use of customer data for marketing without consent is prohibited.

24. Suspension

We may suspend your listing for reasons including expired KYC, food safety concerns, excessive cancellations, customer complaints, fraudulent activity, or breach of this Agreement.

25. Account Termination

Either party may terminate this Agreement with prior written notice as specified in the Commercial Schedule. We may terminate immediately for material breach, insolvency, or regulatory non-compliance. Pending settlements will be processed subject to reconciliation and lawful deductions.

26. Liability

You are solely responsible for the quality, safety, and legality of the food you prepare and serve. To the maximum extent permitted by law, the Company's aggregate liability under this Agreement will not exceed the total commissions received from you during the three months preceding the claim.

27. Indemnification

You agree to indemnify and hold the Company harmless from any claims, damages, penalties, or costs arising from food-safety incidents, regulatory non-compliance, IP infringement, or breach of this Agreement caused by you.

28. Governing Law

This Agreement is governed by the laws of India.

29. Dispute Resolution

Disputes will first be attempted to be resolved amicably. Unresolved disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated at [City], India, before a sole arbitrator. Courts at [City] shall have exclusive jurisdiction for interim reliefs.
